Terms of Service

1. Agreement

These Terms of Service (the "Terms") are an agreement between you and Castling Holdings LLC ("we," "us") covering the ShepAIrd website and the ShepAIrd software. By using either, you agree to these Terms. If you do not agree, do not use them.

2. Two surfaces

The website is marketing and account-free browsing: product copy, pricing, and these legal pages. You do not need an account to read it.

The software is the search product you run. Solo runs on one machine. Team and Company run as a shared instance you host. We do not operate your instance or hold the sources you connect, unless you send us material for support.

3. The software

Supported sources and deployment capabilities are agreed for each private evaluation. A source must be authorized and indexed before it can be searched.

You are responsible for the instance, for who can access it, and for having the right to connect those sources. Models are optional and stay yours. We do not require a model vendor of ours.

4. Fees

Listed prices describe who shares an instance, not tokens. If you buy from us, the then-current Pricing page and the checkout you complete are the fee terms. Fees already paid are not refundable except where the law of your jurisdiction requires it.

5. License and acceptable use

Software access and evaluation rights require a separate written agreement with an authorized rights holder. Browsing this website or viewing a demo does not grant a software license. You may not: use it unlawfully; break access controls; resell or sublicense it except as a plan allows; scrape or overload the website; or remove proprietary notices.

6. Your data

Sources, indexes, memories, and answers on your instance are yours to govern. We are not the controller of that data. If you contact us, only send what you are willing to share.

7. Intellectual property

ShepAIrd, including its name, mark, site, and software, is owned by Castling Holdings LLC and protected by applicable intellectual property law. These Terms do not transfer ownership.

8. Disclaimer

The website and the software are provided "as is" and "as available," without warranties of any kind, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Search results and citations can be wrong, incomplete, or stale. You remain responsible for how you use them.

9. Limitation of liability

To the fullest extent permitted by law, Castling Holdings LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of the website or the software.

To the fullest extent permitted by law, our total liability for any claim is limited to the greater of the amounts you paid us for ShepAIrd in the twelve months before the claim, or one hundred U.S. dollars.

10. Indemnity

You will indemnify Castling Holdings LLC against claims arising from your use of the software, the sources you connect, or your breach of these Terms.

11. Termination

We may suspend or stop access to the website, or stop providing the software to you, if you breach these Terms, if required by law, or to protect the service. You may stop using ShepAIrd at any time. Sections that should survive, including intellectual property, disclaimers, liability limits, and governing law, survive.

12. Export and sanctions

You may not use ShepAIrd if you are in a comprehensively sanctioned country or on a U.S. restricted-party list, or if your use would violate export or sanctions law. You are responsible for that compliance.

13. Changes

We may change the website, the software, or these Terms. Changes are effective when posted. The date at the top will change. Continued use after a change is acceptance of the new Terms.

14. Governing law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-laws rules. Except where the law of your jurisdiction prohibits it, disputes will be brought in the state or federal courts in Michigan, and you consent to that venue.
